Hotseat 2 Design Competition

All entrants must submit an original chair design that incorporates wood as a part of the design. Entrants must submit a drawing of his or her chair and a description of the chair that does not exceed 350 words. All entries must be submitted electronically. Images must be submitted in the following format: JPEG at 640px X 480px/72 dpi, not to exceed 100k. All entries must contain the name, address, email address and telephone numbers (day and evening) of the entrant. All entries must be received by OFS no later than 12:00 A.M. March 31, 2006. All entries will become the property of OFS. OFS will not be responsible for any lost, late, misdirected, incomplete, illegible or non-qualifying entries. Because OFS has not conducted a similar competition in the past, OFS can not predict the number of entrants, and thus can not provide any odds of winning. Odds depend, in part, on the number of eligible entries received.

Judging
All qualifying entries will be judged by a panel of three (3) judges, none of whom will be OFS representatives and all of whom have significant experience in the furniture industry. Judging will be based on the following criteria, which will be weighted equally: (a) the aesthetic quality of the chair, (cool.gif the progressive nature of the chair, © consideration of environmental issues in the design, (d) how the design incorporates technology, (e) sustainability of the design, (f) accessibility (including functionality, usefulness and versatility) of the design, and (g) the degree to which the chair lends itself to large scale manufacture and distribution in terms of cost of manufacture and other manufacturing concerns.
Based on these criteria, the judges will select three finalists by April 7, 2006. These three finalists will travel to Dallas, Texas to present their designs in person to the same panel of judges as a part of the Design Critique to be conducted at the April 27, 2006 opening of the OFS Showroom in Dallas. This event will be open to the public and finalists will each have approximately 20 minutes to present his/her design to judges and attendees. A finalist may use visual aides as a part of his or her presentation. Each presentation by an entrant will be followed by a short question and answer period during which such entrant must respond to inquiries and comments about his design from the judges and attendees. The judges will choose a final winner based on the same criteria noted above and announce the final winner on April 27, 2006.

The Hot Seat Chair Design Competition is open and offered to legal residents of any one of United States/Canada/Europe who are 18 years of age or older. Employees and directors of OFS Sales Corp.;its affiliated companies; its advertising, promotion, and production agencies; and its direct competitors (and their respective IRS dependents, immediate family members [spouse, children, siblings, parents] and individuals residing in their same household, whether or not related) are not eligible to participate. This contest is subject to federal, state and local laws and regulations, and is void where prohibited. OFS may terminate or discontinue this competition at any time if necessary to comply with federal, state or local laws and/or regulations.

Prizes
For the three finalists: Coach air transportation (from gateway city nearest winner's home) to Dallas, Texas arriving sometime on April 26, 2006, one (1) night double occupancy hotel accommodations (2 people to a room) in a three star hotel for attendance of the OFS Showroom opening and the Design Critique in Dallas on April 27, 2006, three meals for the day and transportation to and from the hotel and the OFS Showroom to attend the Design Critique and a return flight to gateway city nearest winner's home on April 27, 2006. Approximate Retail Value of prize per finalist is $1,000. Finalists must be able to accept the prize as stated or the prize will be forfeited and may be awarded to another entrant. Transportation, meals, gratuities and other expenses not specified herein are the sole responsibility of the finalists. Prizes are subject to change without notice.

Visitors to the website will be able to vote on their favorite design. The results of that voting will be posted on April 27, 2006 on the web site. The voting on the web site will not be a factor considered by the judges in choosing the finalists or on April 27, 2006 when the judges choose a final winner as a part of the OFS Showroom opening.

As a condition to entry, all finalists must agree to transfer all rights to their designs exclusively to OFS for manufacture and sale by OFS if OFS desires to manufacture and sell such design. In addition, all finalists must enter into a Winner's Agreement, Release/Indemnity and Publicity Consent posted at www.ofsthehotseat.com. Should OFS choose to manufacture and sell a chair design submitted by a finalist (which decision is solely in the discretion of OFS), then the finalist will be entitled for a ten year period to a royalty of 3% of the actual sales price of the chair product paid and received by OFS (or its agent), less sales taxes, returns and refunds, subject to the entering into of an agreement between OFS and the finalist with all customary terms and conditions. Such agreement will require that the finalist transfer all rights to the chair and design to OFS, and that the finalist represent that he or she owns the design and that it is original to the finalist. OFS shall have until April 27, 2006 to determine whether it desires to manufacture a finalist's chair.

General Conditions
Entrants agree (a) that OFS, its affiliated companies, advertising and promotion agencies, insurance companies, and their respective officers, directors, employees, representatives and agents have no liability whatsoever for, and are released and shall be held harmless by participants against any claims or liability for any injuries, losses or damages of any kind, to persons, or property, including but not limited to death or rights of publicity or privacy resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any of the prize, participation in the Hot Seat competition, or in any related activity, and (cool.gif finalists, except in Tennessee or where otherwise legally prohibited, grant permission for OFS (and agree to confirm such agreement in writing) and those acting pursuant to OFS's authority to use the finalist's name, photograph, voice and/or likeness and any likeness, drawing or description of finalist's chair for advertising, trade and promotional purposes without further compensation, at any times or time, in all media now known or hereafter discovered world wide and on the Internet and World Wide Web without notice or review or approval. All finalists will be required to complete, sign and return a liability release, and a photo/publicity release, where lawful. If releases are not returned within seven (7) days of date of notification, or winner is found to be ineligible or not in compliance with these Official Rules, or if prize notification or prize is returned as undeliverable, the prize will be forfeited and an alternate winner may be selected. All taxes on prizes are solely the responsibility of the winners.
